Responsibilities
Working closely with legal and business teams to draft, review and negotiate a range of agreements including term sheets/MOUs, real estate arrangements, collaboration/partnership/joint venture agreements, agreements for supply of goods or services, and NDAs/confidentiality agreements.
Provide timely, risk-informed and commercially relevant legal advice to the business teams on commercial and contractual matters, and statutory and regulatory issues.\
Anticipating and identifying risks to prevent business impact, handling issues and disputes as they arise to swift resolution.
Driving good corporate governance across the Company, ensuring compliance with and developing the Company’s policies and statutory obligations, including the provision of training where necessary on matters (for example on the Company's GDPR, anti- bribery and corruption and conflict of interest requirements)
Support the business units and the other departments in creating sound organizational policies in line with market practice and the law.
Evaluate the existing data protection framework to identify areas of no or partial compliance and rectify any issues Support promotion of a culture of data protection and compliance across all units of the organization.
Maintain statutory books, including registers of members, directors, and secretaries, and shareholders with all their past and
present shareholdings, organizing board meetings and annual
general meetings (AGMs), preparing agendas and taking minutes.
Ensure that all necessary documents are filed with the relevant Companies Registry
Managing and updating template contracts for consistency across the group, maintaining a contract database to ensure approval, signature and completion formalities are satisfied.
Communicating and collaborating with external and internal decision-makers, stakeholders, and customers, including across jurisdictions
Engaging and managing external legal advisors to provide commercially driven advice on time and within budget
